1. Acceptance of Terms

By accessing or using edkeep.com ("EdKeep," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the service.

2. Description of Service

EdKeep is a digital tool designed for use by teachers, school staff, and other adult users in educational or supervisory contexts to manage and monitor hall pass activity.

EdKeep may be used:

  • Independently by individual educators, or
  • As part of a school or institutional deployment

EdKeep does not verify institutional affiliation, authority, or user role.

EdKeep is not:

  • A student information system (SIS)
  • A safety, emergency, or security system
  • A substitute for supervision, monitoring, or enforcement of school policies

EdKeep is not responsible for student whereabouts, behavior, safety, or any outcomes resulting from use of the service.

3. Eligibility and Accounts

You may use EdKeep only if:

  • You are an adult, and
  • You are using the service in an educational or supervisory context

EdKeep does not independently verify your identity, role, or affiliation.

Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your login credentials and any PINs used in your environment
  • All activity occurring under your account or associated classrooms

You are solely responsible for how access is granted and used within your environment.

4. Educational Use Context

EdKeep is designed for use in educational environments but may be adopted by individual educators or institutions.

If you use EdKeep within a school or organization, you are responsible for:

  • Complying with applicable laws and school policies
  • Obtaining any required permissions or approvals

EdKeep does not guarantee compliance with any specific legal or regulatory requirements applicable to schools or educational institutions.

EdKeep does not:

  • Verify student identity
  • Confirm enrollment or affiliation
  • Validate the accuracy of user-provided data

All data entered into the system is controlled by the user(s) who input it.

EdKeep does not act on behalf of any school or institution and is not responsible for user authority, supervision, or policy enforcement.

5. Acceptable Use

You agree not to:

  • Use EdKeep for unlawful purposes
  • Attempt to gain unauthorized access to accounts, classrooms, or data
  • Interfere with or disrupt the service
  • Use the service in a manner that creates harm, risk, or misuse
  • Reverse engineer, decompile, disassemble, or otherwise attempt to extract source code from the service, except to the limited extent expressly permitted by applicable law

You are responsible for ensuring your use complies with applicable laws and institutional policies.

6. Data and Content

You are responsible for all data you input into EdKeep, including:

  • Student identifiers (if used)
  • Names or descriptive fields
  • Activity records

EdKeep does not guarantee:

  • Accuracy of any data
  • Completeness of records
  • Prevention of duplicate or missing entries

EdKeep may store and process data solely for the purpose of operating and improving the service.

EdKeep does not guarantee data retention and may delete or remove data at any time, including after account inactivity or termination.

7. Availability and Changes to Service

EdKeep is provided on an "as is" and "as available" basis.

We may:

  • Modify, suspend, or discontinue any part of the service at any time
  • Change or remove features without notice

We do not guarantee:

  • Continuous availability
  • Error-free operation
  • Compatibility with all systems or environments

8. Termination

You may stop using EdKeep at any time.

We may suspend or terminate access to EdKeep:

  • For violation of these Terms
  • To address legal, operational, or security risks
  • If we discontinue the service

Termination may result in loss of access to stored data.

9. Disclaimer of Warranties

To the maximum extent permitted by law, EdKeep disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

EdKeep does not warrant that:

  • The service will meet your requirements
  • The service will be uninterrupted, secure, or error-free
  • Any data will be accurate or reliable

10. Limitation of Liability

To the maximum extent permitted by law:

EdKeep shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data or operational disruption.

EdKeep's total cumulative liability for any claim arising out of or relating to the service shall not exceed $100 USD.

11. Indemnification

You agree to indemnify and hold harmless EdKeep from any claims, damages, or liabilities arising from:

  • Your use of the service
  • Your data or content
  • Your violation of these Terms

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

13. Binding Arbitration

Any dispute arising out of or relating to these Terms or the use of EdKeep shall be resolved through binding arbitration, except where prohibited by law.

  • Arbitration shall take place in Travis County, Texas
  • Arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action
  • You waive the right to a jury trial and to participate in class actions
  • Each party shall bear its own costs unless otherwise required by law

14. Changes to These Terms

We may update these Terms at any time.

Updated Terms will:

  • Be posted on edkeep.com
  • Include a revised "Effective Date"

Your continued use of EdKeep after changes are posted constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable provision shall be limited or modified to the minimum extent necessary to make it enforceable.
